Terms of Service

These Terms of Service (“Terms”) form a binding agreement between you and Selldoh (“Selldoh,” “we,” “our,” or “us”). By creating an account, accessing selldoh.com or any Vendor storefront powered by Selldoh, or otherwise using our services (the “Service”), you agree to be bound by these Terms and our Privacy Policy.

If you do not agree to these Terms, do not use the Service.

Selldoh provides ordering, payment, and customer-communication software to local food businesses (“Vendors”) and tools for those Vendors’ customers (“Customers”) to browse menus, place orders, and receive updates. Vendors are independent businesses; Selldoh is not the seller of food or goods listed on any Vendor storefront and is not responsible for the quality, safety, or accuracy of any Vendor’s products.

To use most features of the Service you must create an account. You agree to provide accurate information, keep it up to date, and keep your credentials confidential. You are responsible for all activity that occurs under your account. Notify us immediately at hello@selldoh.com if you suspect unauthorized access.

You must be at least 18 years old, or the age of majority in your jurisdiction, to create a Vendor account. The Service is not directed to children under 13.

Payments are processed through Stripe, Inc. By using the Service, Vendors and Customers also agree to the applicable Stripe terms, including the Stripe Connected Account Agreement and Stripe Services Agreement.

Selldoh charges Vendors a platform fee on each transaction. The fee is deducted from the Vendor’s transfer; Customers are not charged a separate platform fee or service surcharge at checkout. The current fee schedule is communicated to Vendors during onboarding and may be updated from time to time with reasonable notice.

Vendors are responsible for setting their own prices, collecting and remitting all applicable taxes, and fulfilling orders. Selldoh is not a party to the sale between a Vendor and a Customer except as needed to process payment as a payment facilitator.

Refund, cancellation, and pickup policies are set by each Vendor. Customers should contact the Vendor directly with questions about a specific order. Where required by law or card-network rules, Selldoh and Stripe may process disputes and chargebacks; the Vendor is responsible for any refund, chargeback, or related fees arising from their orders.

You agree not to use the Service to:

• violate any applicable law, regulation, or third-party right;
• list, sell, or facilitate the sale of items prohibited by law or by Stripe’s Restricted Businesses list;
• send unsolicited commercial messages, spam, or messages that violate the Telephone Consumer Protection Act, CAN-SPAM Act, CASL, or similar laws;
• attempt to interfere with, disrupt, reverse-engineer, or gain unauthorized access to the Service;
• misrepresent your identity, affiliation, or the nature of goods you sell.

We may suspend or terminate any account that violates these Terms, with or without notice, and may report illegal activity to the appropriate authorities.

The Service allows Vendors to send transactional and marketing messages to their Customers by SMS and email. Vendors are solely responsible for collecting valid opt-in consent before sending marketing communications, for honoring opt-out requests promptly, and for complying with all applicable communications laws and carrier requirements. Selldoh provides tools to support compliant messaging (consent capture, STOP/UNSUB handling, suppression lists) but does not warrant a Vendor’s compliance.

Selldoh and its licensors own all right, title, and interest in and to the Service, including all software, designs, text, graphics, and trademarks (the “Selldoh Materials”). Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for its intended purpose.

Vendors retain ownership of the content they upload — product photos, descriptions, brand assets — and grant Selldoh a worldwide, royalty-free license to host, display, reproduce, and distribute that content as needed to operate the Service.

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM A COURSE OF DEALING OR USAGE OF TRADE. SELLDOH DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SELLDOH AND ITS OFFICERS, EMPLOYEES, AGENTS, AND AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATING TO YOUR USE OF THE SERVICE. SELLDOH’S TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID SELLDOH IN THE TWELVE MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).

You agree to defend, indemnify, and hold harmless Selldoh and its officers, employees, agents, and affiliates from any claim, demand, loss, or expense (including reasonable attorneys’ fees) arising out of your use of the Service, your violation of these Terms, or your violation of any third-party right, including any intellectual-property, privacy, or communications-law right.

You may stop using the Service at any time. We may suspend or terminate your access to the Service, with or without notice, for any reason, including if we reasonably believe you have violated these Terms. Sections that by their nature should survive termination — including payment obligations, intellectual-property terms, disclaimers, limitations of liability, indemnification, and governing law — will survive.

These Terms are governed by the laws of the Commonwealth of Kentucky, without regard to its conflict-of-laws principles. Any dispute arising out of or relating to these Terms or the Service will be brought exclusively in the state or federal courts located in Jefferson County, Kentucky, and you consent to personal jurisdiction in those courts.

We may update these Terms from time to time. Material changes will be announced on selldoh.com or by email to registered Vendors at least 14 days before they take effect. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms.
